If you do not agree, you must discontinue use of our website and services immediately.

1. Definitions

"Client" refers to any organisation that purchases our corporate health challenge products. "Participant" refers to any individual employee or team member enrolled in a challenge programme by their employer. "Services" refers to all corporate wellness programmes, including the Sprint Challenge Package, Team Wellness Quarterly, Enterprise Health Programme, and any customised challenge offerings. "Website" refers to cartilageiaplane.world and all associated pages.

2. Eligibility

Our website is intended for use by individuals aged eighteen years or older representing organisations interested in corporate health challenges. Participants enrolled through client organisations must be employees or authorised representatives of the purchasing organisation. By using our website, you represent that you meet these eligibility requirements and have the authority to bind your organisation to these Terms where applicable.

3. Website Use

You may use our website for lawful purposes related to learning about and engaging our corporate health challenge services. You agree not to use the website in any manner that violates applicable New Zealand or international law, infringes upon the intellectual property rights of Cartilageiaplane or third parties, transmits harmful code or malware, attempts unauthorised access to our systems, collects data from other users without consent, or interferes with the proper functioning of the website. We reserve the right to restrict or terminate access for users who violate these provisions.

4. Service Agreements

Engagement of our wellness packages is governed by these Terms together with any specific service agreement, proposal, or order confirmation issued by Cartilageiaplane. In the event of conflict between these Terms and a signed service agreement, the signed agreement prevails for the specific engagement. All prices listed on our website are in New Zealand dollars and exclusive of GST unless otherwise stated. Programme scope, participant limits, timelines, and deliverables are defined in the applicable package description or customised proposal.

5. Programme Delivery

Cartilageiaplane will use commercially reasonable efforts to deliver corporate health challenge programmes in accordance with agreed timelines and specifications. We will assign qualified programme coordinators and provide participant resources, tracking tools, and reporting as described in the purchased package. Client organisations are responsible for communicating programme details to participants, facilitating internal enrolment, and designating a primary contact for coordination purposes. Delays caused by client non-responsiveness, incomplete participant lists, or failure to provide agreed access may extend programme timelines without liability on our part.

6. Participant Responsibilities

Participants in our corporate health challenges are expected to engage honestly and respectfully. Falsifying activity data, harassing other participants, or misusing programme platforms may result in removal from the challenge at the discretion of Cartilageiaplane and the client organisation. Participants are responsible for assessing their own physical readiness for challenge activities and should consult appropriate professionals before beginning new exercise routines. Our programmes provide general wellness guidance and are not a substitute for personalised professional advice.

7. Intellectual Property

All content on cartilageiaplane.world, including text, graphics, logos, challenge frameworks, programme materials, activity modules, and software, is the property of Cartilageiaplane or its licensors and is protected by copyright, trademark, and other intellectual property laws. Clients receive a limited, non-exclusive licence to use programme materials for the duration of their engagement for internal organisational purposes only. Reproduction, distribution, or commercial exploitation of our materials outside the scope of an active service agreement is strictly prohibited without prior written consent.

8. Payment Terms

Payment for wellness packages is due according to the terms specified in the invoice or service agreement. Standard payment terms require fifty percent deposit upon programme confirmation and the remaining balance prior to programme launch, unless alternative arrangements are agreed in writing. Late payments may incur interest at the rate permitted under the Interest on Money Claims Act 2016. We reserve the right to suspend programme delivery for accounts with outstanding balances exceeding thirty days past due.

9. Cancellation by Client

Client organisations may cancel a booked programme subject to the cancellation terms in their service agreement. Standard cancellation policy requires written notice at least fourteen business days before the scheduled programme start date for a full deposit refund minus administrative fees. Cancellations within fourteen business days may forfeit the deposit. Cancellations after programme launch are non-refundable for services already rendered. Rescheduling requests are accommodated where possible at no additional charge if received at least seven business days before the original start date.

10. Limitation of Liability

To the maximum extent permitted by New Zealand law, Cartilageiaplane shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our website or participation in our corporate health challenge programmes. Our total aggregate liability for any claim arising from a specific service engagement shall not exceed the total fees paid by the client for that engagement. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence or for fraudulent misrepresentation.

11. Disclaimer of Warranties

Our website and services are provided on an "as is" and "as available" basis. While we strive for accuracy and reliability, we make no warranties, express or implied, regarding uninterrupted website access, error-free programme delivery, or specific wellness outcomes. Corporate health challenges are designed to promote healthy habits and team engagement; individual results vary based on participant commitment, organisational support, and personal circumstances.

12. Indemnification

You agree to indemnify, defend, and hold harmless Cartilageiaplane, its directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from your breach of these Terms, your misuse of our website or services, or your violation of any third-party rights. Client organisations additionally indemnify us against claims arising from participant conduct within programmes administered on their behalf.

13. Privacy

Your use of our website and participation in our corporate health challenge programmes is also governed by our Privacy Policy, which describes how we collect, use, and protect personal information. By using our services, you consent to data processing practices described in the Privacy Policy.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of New Zealand. Any dispute arising from or relating to these Terms or our services shall first be attempted to be resolved through good-faith negotiation between the parties. If negotiation fails within thirty days, disputes shall be submitted to the exclusive jurisdiction of the courts of New Zealand located in Wellington. Nothing in this section prevents either party from seeking injunctive relief for intellectual property violations.

15. Modifications

We reserve the right to modify these Terms at any time. Updated Terms will be posted on this page with a revised date. Material changes affecting active service agreements will be communicated to affected clients. Continued use of our website after changes constitutes acceptance of the modified Terms for website usage. Active service agreements remain governed by the Terms in effect at the time of engagement unless both parties agree otherwise.

16. Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent of the parties.
